Code of Ethics
The Board of Directors (“Board”) of DAVID CONSTRUCTION, INC.
(“Corporation”) has adopted the following Code of Ethics for the
Corporation. This Code of Ethics applies to all directors,
officers and employees of the Corporation.
Ethics Standard and Policies:
It is the policy of DAVID Construction, Inc. to comply with all
governmental laws, rules, and regulations applicable to its
business.
The directors, officers and employees of the Corporation shall be
fair and honest in all business dealings with the Corporation's
suppliers, customers and other third parties. Dishonesty in any form
is not acceptable. The reputation of the Corporation for integrity
is of utmost importance, and can be achieved only with the
unwavering fair and honest conduct of its directors, officers and
employees. The Corporation is not only interested in the attainment
of results, but also how those results are achieved.
The standards of conduct and policies set forth in this Code of
Ethics are in addition to the “Code of Excellence” and “Core Values”
of the Corporation.
Employee Matters:
Employees are expected to report promptly any incidents of
dishonesty or non-compliance with the Code of Ethics or any
suspected violations of law involving the Corporation.
In most cases, an employee should discuss such matters with the
employee's immediate supervisor. If an employee is dissatisfied
following discussion with his or her immediate supervisor, or does
not wish to discuss the matter with his or her supervisor for any
reason, the employee may discuss the matter directly with the
President of the Corporation. The President maintains an open door
policy for such concerns.
If an employee does not wish to discuss the matter with his or her
supervisor or the President of the Corporation, the employee may
contact the Independent Ethics Advisor to express his or her
concerns. The name and contact information of the Independent Ethics
Advisor is posted on the company bulletin board at its main office.
The employee need not disclose his or her name to the Independent
Ethics Advisor.
An employee may voice concerns about incidents of dishonesty or
non-compliance with the Code of Ethics or any suspected violations
of law involving the Corporation without worry of any adverse
consequences to the employee, unless the employee acts with willful
disregard of the truth.
If a director, officer, or employee fails to behave honestly, fails
to conform with the standards of conduct set forth in this Code of
Ethics, or fails to comply with the law, that individual shall be
subject to disciplinary action by the Corporation, up to and
including discharge.
